Commercial counsel for a US role, focused on SaaS, enterprise, vendor, and infrastructure/cloud agreements. Needs experience negotiating large complex enterprise sales contracts, using AI tools for research/drafting, and some international or EU commercial contract law exposure.

What you'll do

  • Review and negotiate customer and vendor agreements including MSAs, DPAs, NDAs, information security annexes, and supplier codes of conduct.
  • Hold vCluster's contractual position professionally without alienating counterparties.
  • Manage a high and steady volume of enterprise contracts across major customers and vendors without becoming the bottleneck to closing.
  • Use tools to research law outside the core focus area and give the business fast, well-reasoned answers.
  • Separate where answers can be found independently from where specialized outside counsel is needed.
  • Work closely with the sales team to protect the company's position without stalling momentum.
  • Build and maintain contract templates, redline playbooks, and internal guidance so lower-risk paperwork can move quickly without full legal review every time.

What they require

  • Experience as a contract lawyer or commercial counsel.
  • Comfortable with SaaS, enterprise, and vendor agreements.
  • Understanding of the mechanics of real negotiation.
  • Experience negotiating large, complex enterprise sales agreements.
  • Ability to hold firm and push back professionally while keeping relationships intact and getting deals done.
  • Comfortable using tools to accelerate research and drafting, especially in areas outside primary expertise.
  • Bias to action; does not escalate everything to outside counsel or hide behind uncertainty.
  • Ability to give the business a clear, good enough answer quickly and flag real risk.
  • Some experience with international or EU commercial contract law.
  • Preferred: Worked in house at an early or growth stage startup.
  • Preferred: Handled agreements specific to enterprise cloud, hosting, or bare metal infrastructure vendors and customers.
