Contracts attorney with 2–5 years in commercial contract law. Must have a J.D., be licensed in at least one U.S. jurisdiction, and have SaaS or enterprise software agreement negotiation experience.

What you'll do

  • Draft, review, and negotiate a wide variety of commercial agreements.
  • Partner with Sales and Customer Success teams to negotiate customer agreements while helping move deals efficiently toward execution.
  • Provide practical, business-oriented legal advice on contract terms, risk allocation, compliance, and commercial issues.
  • Identify legal and operational risks and recommend appropriate solutions that support business objectives.
  • Maintain and improve standard contract templates, fallback language, and negotiation playbooks.
  • Assist with customer and vendor contract management as needed.
  • Support due diligence efforts with prospects and clients.
  • Support other commercial legal matters as assigned.

What they require

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction and in good standing.
  • 2–5 years of experience practicing commercial contract law.
  • Demonstrated experience drafting and negotiating SaaS or enterprise software agreements.
  • Strong understanding of commercial contracting principles and risk management.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Strong business judgment and collaborative approach.
  • Preferred: Familiarity with privacy and data security provisions, including HIPAA, GDPR and other data protection requirements.
  • Preferred: Experience working with enterprise customers and complex commercial negotiations.
  • Preferred: Experience with intellectual property issues for SaaS companies, including protection of IP, patent, and trademark matters.
  • Preferred: Experience working in the healthcare sector.
