What you'll do

  • Serve as legal advisor and strategic business partner to internal clients with a focus on commercial technology transactions, including IT, SaaS, data-use, and AI-related agreements.
  • Draft, review, and negotiate a broad range of complex commercial agreements, including software licensing, cloud services, data sharing, AI/ML-enabled solutions, vendor, and strategic partnership agreements.
  • Partner with business, procurement, IT, information security, and compliance teams to identify and mitigate legal, operational, and technology-related risks.
  • Advise on data governance, privacy, security, and AI-related legal considerations, including risk allocation and regulatory implications.
  • Structure and negotiate enterprise-level transactions balancing legal protections with business objectives.
  • Support international expansion and commercialization initiatives, including cross-border technology transactions and market entry considerations.
  • Support due diligence and integration activities for transactions involving technology, data assets, or vendor relationships.
  • Develop, maintain, and improve contract templates, playbooks, and internal guidance materials.
  • Coordinate and manage matters with outside counsel as needed.
  • Advise on contracting policies, procedures, and best practices and contribute to continuous improvement of legal team processes and tools.
  • Foster cross-functional collaboration and communication; work with leadership to improve work relationships and retention.
  • Travel up to 25%.
  • Provide advice and support on a variety of legal issues relating to Practice operations and transactions.
  • Develop and maintain client relationships with local-practice and business-team partners that help you identify legal risks and issues arising in day-to-day operations, contractual matters, and business transactions and collaboratively develop solutions.
  • Counsel practice leadership regarding proposed arrangements and complex legal matters.
  • Draft and negotiate a wide range of contracts and legal documents.
  • Negotiate business deals and legal disputes.
  • Help build and refine processes and systems to support the delivery of exceptional legal services across a nationwide organization.
  • Support business counterparts in responding to audits or litigation matters.
  • Manage and coordinate matters with outside counsel.
  • Advise on the Practice’s corporate governance documents and structures.

What they require

  • J.D. degree from an ABA-accredited law school.
  • Licensed to practice law and in good standing with at least one U.S. state bar.
  • 6+ years of relevant legal experience, preferably law firm and/or in-house, with a strong focus on commercial contracting and technology transactions.
  • Demonstrated experience drafting and negotiating complex agreements including SaaS, cloud services, software licensing/implementation, data use/sharing/protection, and AI/ML-enabled products and services.
  • Strong understanding of technology-related risk allocation including indemnification, limitation of liability, service levels, data security, and privacy considerations.
  • Experience working with business, procurement, IT, and/or information security teams to support technology transactions.
  • Excellent oral and written communication skills; ability to translate complex legal concepts into practical business advice.
  • Strong organizational skills and attention to detail; ability to manage multiple priorities.
  • Ability to work independently and exercise sound judgment.
  • Strong interpersonal and stakeholder management skills with a collaborative, solutions-oriented approach.
  • Demonstrated strategic thinking and business acumen to balance legal risk and commercial objectives.
  • Proficiency with Microsoft Office (Word, PowerPoint, Outlook, Excel).
  • Strategic thinking skills to provide practical advice with an awareness of legal risks in the business context
  • Strong understanding of legal and business factors related to health care services
  • Excellent oral and written communication skills in both legal and business contexts, to enable clients to clearly understand how legal issues affect their business goals and priorities
  • Strong interpersonal skills that form the foundation of an open and active client rapport
  • Strong organizational skills, attention to detail, and ability to independently prioritize competing work matters
  • Ability to work with and maintain confidential information.
  • 6+ years of corporate/transactional/operations combined experience at a law firm and in-house at a health care company preferred, strongly preferably health care services .
